The U.S. Department of Justice (DOJ) has determined that Paramount Skydance’s planned acquisition of Warner Bros. Discovery (WBD) is unlikely to reduce competition or negatively affect consumers, marking a significant step forward for the high-profile media merger.

Following an antitrust review, the DOJ announced that it had closed its investigation into the proposed transaction. Regulators concluded that the combined company would likely strengthen competition within the media and entertainment sector rather than weaken it.

According to the DOJ’s findings, the merger could provide consumers with a stronger alternative in the increasingly competitive streaming market. Officials noted that combining the content libraries and resources of the two companies may enhance their ability to compete against larger industry rivals.

Regulators also examined the potential impact on traditional television and the film industry. The review found no evidence that the deal would substantially reduce competition in film production, theatrical distribution, or linear television broadcasting.

The acquisition agreement was reached earlier this year after months of negotiations. Paramount Skydance has argued that the merger will support growth, expand content offerings, and improve consumer choice. Company leadership has also pledged to maintain Paramount and Warner Bros. as separate movie studio operations while increasing theatrical film releases.

Despite regulatory approval, some industry observers remain cautious about continued consolidation in the entertainment business, where a small number of major companies already control a significant share of content production and distribution.

The DOJ’s decision removes a major obstacle for the transaction, bringing Paramount Skydance closer to completing one of the largest media mergers in recent years.
